2. Our Services
Fruxinfo provides services including business automation and CRM, software and app development, website design and development, and digital marketing. The exact scope, deliverables, and timeline for any engagement are defined in the written proposal or agreement for that project.
3. Client Responsibilities
- Provide accurate, complete information and timely access to materials, accounts, and approvals we need to deliver the work.
- Nominate a point of contact who can give feedback and sign off on deliverables.
- Ensure you have the rights to any content, data, or materials you provide to us.
- Make payments in line with the agreed schedule and our Payment Policy.
4. Quotations & Scope
Quotations are based on the requirements known at the time and are valid for the period stated in the quotation. Work outside the agreed scope ("change requests") may affect timelines and costs and will be quoted separately before being carried out.
5. Intellectual Property
On full payment for a project, the client owns the final deliverables created specifically for them. Fruxinfo retains ownership of its pre-existing tools, frameworks, libraries, know-how, and any generic components used to build the deliverables, and may reuse these on other projects. We may also reference completed work in our portfolio unless agreed otherwise in writing.
6. Payment Terms
Fees, milestones, currencies, and billing are described in the project proposal and in our Payment Policy. Refunds, where applicable, are governed by our Refund Policy.
7. Warranties & Disclaimers
We provide our services with reasonable skill and care. Except as expressly stated in a project agreement, the website and services are provided "as is" and "as available", without warranties of any kind, whether express or implied, including fitness for a particular purpose. We do not warrant that the website will be uninterrupted or error-free.
8. Limitation of Liability
To the maximum extent permitted by law, Fruxinfo shall not be liable for any indirect, incidental, or consequential losses, or loss of profit, revenue, or data. Our total liability arising out of or in connection with an engagement shall not exceed the fees paid by the client for that engagement.
9. Confidentiality
Each party agrees to keep the other's confidential information secure and to use it only for the purpose of the engagement. We are happy to enter into a separate non-disclosure agreement (NDA) where required.
10. Termination
Either party may terminate an engagement as set out in the project agreement, or where the other party is in material breach and fails to remedy it within a reasonable period. On termination, the client shall pay for all work performed and approved up to the date of termination.
11. Governing Law & Jurisdiction
These Terms are governed by the laws of India. Subject to any specific agreement, the courts at [JURISDICTION] (expected to be Ahmedabad, Gujarat, India) shall have exclusive jurisdiction over any dispute arising from these Terms or our services.
